These Terms of Service ("Terms") form a binding legal agreement between you and Redeyed Corporation, a Nevada corporation ("Redeyed", "we", "us", or "our"), and govern your access to and use of our websites, Laboratory and Agents, Sentinel, Recon, Guardian device and network tools, Shield, Developer tools and APIs, desktop and mobile applications, domains, memberships, prepaid credits, and all related products, features, and services (collectively, the "Services"). By creating an account, purchasing a subscription or credits, clicking to accept these Terms, downloading an application, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
PLEASE READ SECTION 16 (DISPUTE RESOLUTION) CAREFULLY. IT REQUIRES THAT MOST DISPUTES BETWEEN YOU AND REDEYED BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION ON AN INDIVIDUAL BASIS. IT ALSO CONTAINS A WAIVER OF CLASS ACTIONS AND A WAIVER OF THE RIGHT TO A JURY TRIAL. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION WITHIN 30 DAYS, AS DESCRIBED IN SECTION 16, BY EMAILING [email protected].
These Terms govern your use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by all policies incorporated by reference, including our Privacy Policy, Acceptable Use Policy, Refund Policy, and Cookie Policy. The Data Processing Addendum applies where Redeyed processes personal information on behalf of a business customer. Our Security & Compliance Statement describes safeguards and assurance status but is not a service-level agreement or warranty. Together, the incorporated documents constitute the agreement between you and Redeyed regarding the Services.
If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity. We may publish additional terms, order forms, or product-specific terms for certain features; where they conflict with these Terms, the additional terms control for that feature only.
These Terms include a binding arbitration provision and class-action and jury-trial waivers (Section 16). Please review them carefully, as they affect your legal rights.
You must be at least sixteen (16) years old to create an account or use the Services. If the law where you live requires a parent or legal guardian to consent to these Terms or to your use of the Services, you may use the Services only with that consent. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is true, accurate, current, and complete.
When you register, you agree to provide accurate and complete information and to keep it current. You are responsible for maintaining the accuracy of your account information.
You are responsible for safeguarding your password, credentials, authentication factors, and API keys, and for restricting access to your account and devices. We strongly recommend that you enable two-factor authentication (2FA). You must notify us immediately at [email protected] if you suspect any unauthorized access to or use of your account or API keys.
You are responsible for all activity that occurs under your account or through your credentials and API keys, whether or not authorized by you, except to the extent caused by our breach of these Terms. Creating accounts to evade suspensions, rate limits, free-tier allowances, quotas, or Sentinel reputation decisions is prohibited.
Redeyed offers the following products. We may add, modify, suspend, or discontinue any Service or feature at any time, subject to these Terms and applicable law.
Laboratory is a suite of AI content-creation tools that generate text, images, video, short-form clips, audio, and transcription. These tools are served by Redeyed's own self-hosted models by default, and by third-party AI providers where you select one. Selecting a third-party model transmits that request to the named provider; see our Privacy Policy. Security testing work is never routed to a third-party AI provider. Laboratory is accessed through monthly subscriptions and through prepaid "credits" used to meter compute-intensive generations.
Sentinel is a self-hosted captcha and IP-reputation API that helps site operators defend their own properties against automated bots, fraud, and abuse. Sentinel evaluates requests using signals such as IP addresses and behavioral telemetry to score the likelihood of abuse and to help protect sites that integrate it.
Recon is a privacy product. It provides personal and business data-removal from data-broker and people-search websites, together with consent-based exposure monitoring that scans only the domains, identities, and assets that you have added to your account and verified as your own. Recon is a defensive privacy tool. It is not, and may not be used as, a hacking, security-testing, or offensive-security tool, and it must never be directed at any person, system, or organization other than your own verified assets. See Section 9 for details.
The Developer API provides metered, programmatic access to certain Services and endpoints, subject to the documentation, rate limits, scopes, and key-security requirements described in Section 8.
Guardian provides consent-based device, operating-system, hardware, network, integrity, gaming-performance, and security diagnostics through supported desktop and mobile applications. Scan availability and detail depend on the operating system, device permissions, hardware, network, and platform restrictions. Optimization features may recommend or, only after your affirmative instruction, apply supported and reversible user-level settings. Guardian does not inject into games, disable anti-cheat, overclock hardware, or promise any particular frame rate, latency, packet-loss, ranking, or gameplay result. You are responsible for reviewing proposed changes, closing or saving other work, maintaining appropriate backups, and restoring settings if a change is unsuitable for your system.
Shield and the Redeyed client applications provide supported network, account, security, and connectivity functions. Performance, routing, compatibility, and feature availability may vary by platform, location, internet provider, app-store rules, and third-party services. You authorize the application to access the device and network information disclosed at installation or at the time a permission is requested. You may revoke permissions through the application or operating system, although doing so may prevent affected features from working.
Compliance mappings, readiness scores, evidence records, policy workflows, reports, and recommendations are organizational tools only. They are not legal advice, an audit, an attestation, certification, regulatory approval, or a guarantee that you or Redeyed satisfies any law, contract, framework, or standard. Independent assurance can be issued only by an appropriately qualified independent auditor or certification body for the exact entity, system, scope, criteria, and period examined.
Paid Services are offered on a recurring subscription basis across membership tiers selected at checkout. By purchasing a subscription, you authorize us and our third-party payment processors to charge your selected payment method on the terms below.
Commercial-use license. Free, Starter, Pro, and Max memberships are licensed only for personal, household, educational, evaluation, and other non-commercial use. Use on behalf of a business, employer, client, revenue-generating property, paid service, commercial product, or other commercial activity requires an active Enterprise membership or a separate written commercial agreement with Redeyed. Purchasing credits or a product add-on does not independently grant commercial-use rights.
Refunds, where available, are governed by our Refund Policy, including any statutory cooling-off or consumer-protection rights that apply to you.
Certain features — particularly compute-intensive AI generations and elevated metered usage — are measured using credits. Credits may be included with a subscription tier and/or purchased as a one-time prepaid balance.
Your use of the Services is subject at all times to our Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. A violation of the AUP is a violation of these Terms and may result in immediate suspension or termination. Without limiting the AUP, you agree not to:
You choose the prompts, commands, targets, files, systems, agents, configurations, and outputs used with the Services. You are responsible for confirming that you have every authorization, right, consent, license, and legally sufficient basis required for those activities; for reviewing generated output before using or deploying it; for maintaining appropriate human supervision and security controls; and for the consequences of your use or misuse. Access to a Redeyed feature does not grant permission to access, test, scan, monitor, modify, or interfere with any third-party person, account, device, network, application, or data.
Redeyed provides general-purpose AI, automation, diagnostic, defensive-security, and developer tools. We do not direct, approve, endorse, or assume responsibility for unlawful or malicious activity performed by users or third parties through those tools. To the maximum extent permitted by applicable law, Redeyed is not responsible for claims, losses, damage, or liability caused by a user's unauthorized, illegal, malicious, negligent, or policy-violating use of the Services. This allocation of responsibility does not exclude any obligation or liability of Redeyed that applicable law does not permit us to exclude.
Malicious use and misuse of any Redeyed Service are strictly prohibited. We may investigate suspected abuse, restrict or terminate access, preserve relevant records, and cooperate with law enforcement, regulators, courts, and other competent authorities when required by applicable law, valid legal process, or a legally recognized emergency request. Our handling of personal information in those circumstances is described in the Privacy Policy.
The Laboratory tools let you submit prompts, files, and other inputs ("Inputs") to produce text, images, video, audio, transcriptions, and other outputs ("Outputs").
Subject to these Terms and your plan, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Sentinel API and the Developer API through their documented widgets, endpoints, and SDKs, solely for your own permitted use.
Recon is a defensive privacy product designed to help you reduce and monitor the public exposure of your own personal and business information. Recon is consent-based and limited to assets you control.
The Services, including our proprietary tools, engines, self-hosted models, software, designs, user interfaces, documentation, and the "Redeyed" name, logos, and other marks, are owned by us or our licensors and are protected by intellectual property and other laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from the Services except as expressly permitted. All rights not expressly granted are reserved.
Feedback. If you send us suggestions, ideas, or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable license to use, reproduce, modify, and exploit that feedback for any purpose, without any obligation or compensation to you.
The Services may interoperate with or link to third-party websites, products, app stores, or services that we do not own or control, including Stripe, PayPal, Coinbase Commerce, and Apple. Your use of those third-party services is governed by their own terms and privacy policies. When you make a payment, you authorize the applicable processor or app store to charge your payment method. Redeyed remains responsible for obligations that applicable law or our agreement assigns to Redeyed, but we do not control and are not responsible for an independent provider's systems, decisions, or acts.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI OUTPUTS, SENTINEL SCORES, RECON RESULTS, GUARDIAN SCANS OR OPTIMIZATIONS, NETWORK MEASUREMENTS, OR COMPLIANCE OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PARTICULAR SYSTEM OR PURPOSE.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, such warranties are limited to the minimum scope and duration permitted by applicable law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDEYED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
These limitations are an essential basis of the bargain between you and us. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless Redeyed and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Inputs, Outputs, or content; (b) your access to or use or misuse of the Services; (c) your violation of these Terms, the AUP, or any applicable law; (d) your use of Recon, including any assertion that an asset you submitted was not yours or that you targeted a third party; or (e) your infringement or violation of any third party's intellectual property, privacy, or other rights. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.
You may stop using the Services and close your account at any time. We may suspend or terminate your access to all or part of the Services, with or without notice, if: (a) you breach these Terms or the AUP; (b) we are required to do so by law; (c) we reasonably believe your use poses a security, legal, or operational risk to the Services, us, or others; or (d) for prolonged inactivity or non-payment.
Upon termination, your right to use the Services ceases immediately, unused plan-included credits and benefits expire, and we may delete your data in accordance with the Privacy Policy and applicable law. Amounts already owed remain payable. Sections that by their nature should survive termination — including those on intellectual property, fees owed, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous — will survive.
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND REDEYED TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION AND YOUR RIGHT TO A JURY TRIAL. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED BELOW.
Before initiating any arbitration or proceeding, you agree to first contact us at [email protected] and give us a reasonable opportunity (at least sixty (60) days from receipt of your written notice describing the dispute) to resolve it informally and in good faith.
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA"). The AAA Consumer Arbitration Rules apply where you use the Services primarily for personal, family, or household purposes; otherwise, the AAA Commercial Arbitration Rules apply. The arbitration will be seated in Clark County, Nevada, and may be conducted by documents, telephone, or videoconference where the applicable rules permit. The arbitrator will have authority to resolve disputes relating to the interpretation, applicability, or enforceability of this arbitration agreement, except that a court of competent jurisdiction will decide any challenge to the enforceability of the class-action waiver. Fees will be allocated under the applicable AAA rules and mandatory law. Judgment on the award may be entered in any court of competent jurisdiction. This arbitration provision is governed by the Federal Arbitration Act.
YOU AND REDEYED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON. YOU AND REDEYED WAIVE ANY RIGHT TO A JURY TRIAL. IF THE CLASS-ACTION WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM SHALL PROCEED IN COURT, BUT THE REMAINDER OF THIS SECTION SHALL REMAIN IN EFFECT.
You may opt out of the arbitration agreement and class-action waiver in this Section 16 by emailing [email protected] within thirty (30) days of first accepting these Terms, stating your name, your account email, and a clear statement that you wish to opt out of arbitration. If you opt out, the arbitration provision will not apply to you, but the governing law and venue terms below will still apply. Opting out has no effect on any other agreement to arbitrate you may have with us.
Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information, without first engaging in arbitration.
These Terms and any dispute between you and us are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. To the extent a dispute is not subject to arbitration (including a claim where the class-action waiver is held unenforceable, or where you have opted out), you and Redeyed agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada, and you waive any objection to venue or inconvenient forum there.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and provide legally appropriate notice, such as email, an in-product notice, or a request for affirmative acceptance. Changes apply prospectively from the stated effective date unless law permits otherwise. A material change to Section 16 will not apply to a dispute of which we had actual notice before the change. Your continued use after properly notified changes become effective constitutes acceptance where permitted by law; if affirmative acceptance is required, the change will not bind you until that acceptance. If you do not agree, you must stop using the Services and cancel before the next renewal.
